Terms of Service

1. Acceptance of Terms

By accessing or using the Ceylond website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these terms.

If you do not agree with any part of these terms, you must discontinue use of our website and services immediately.

2. Services

Ceylond provides digital marketing and web development services including, but not limited to: search engine optimization (SEO), pay-per-click advertising (PPC), social media marketing, web design and development, branding, and video production.

The specific scope, deliverables, and timeline for each engagement will be outlined in a separate project proposal or Statement of Work (SOW) agreed upon by both parties prior to commencement of work.

3. Client Obligations

To ensure successful delivery of services, clients agree to:

• check_circleProvide accurate, complete, and timely information, assets, and access credentials as reasonably required
• check_circleReview and provide feedback on deliverables within agreed timelines
• check_circleEnsure all materials provided to Ceylond do not infringe upon any third-party intellectual property rights
• check_circleMaintain confidentiality of any proprietary methodologies or tools shared during the engagement
• check_circleDesignate an authorized point of contact for project communications

4. Payment Terms

All payment terms are specified in the applicable project proposal or SOW. General conditions include:

• check_circleA non-refundable deposit (typically 50%) is required before work commences
• check_circleRemaining balance is due upon project completion or as per the agreed milestone schedule
• check_circleInvoices are payable within 14 business days of issue unless otherwise agreed
• check_circleLate payments may incur a charge of 1.5% per month on the outstanding balance
• check_circleAll prices are quoted in USD unless otherwise specified and are exclusive of applicable taxes

5. Intellectual Property

Upon receipt of full payment, ownership of the final deliverables will transfer to the client, except for any pre-existing intellectual property, third-party assets, or proprietary tools and frameworks used by Ceylond.

Ceylond retains the right to showcase completed work in portfolios, case studies, and marketing materials unless a Non-Disclosure Agreement (NDA) is in effect.

6. Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the engagement. This obligation survives the termination of any agreement between the parties for a period of two (2) years.

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

7. Revisions & Change Requests

Each project includes a defined number of revision rounds as specified in the SOW. Additional revisions or changes to the agreed scope may incur extra charges.

Change requests that materially affect the project scope, timeline, or budget must be documented in writing and approved by both parties before implementation.

8. Warranties & Disclaimers

Ceylond warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We do not guarantee specific results, rankings, traffic volumes, or conversion rates, as these are influenced by numerous factors beyond our control.

ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ceylond shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

Ceylond's total aggregate liability for any claims arising out of or related to these terms or our services shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate an engagement by providing 30 days' written notice. In the event of termination:

• check_circleCeylond will deliver all completed deliverables and work-in-progress
• check_circleThe non-refundable deposit is not subject to return
• check_circleAny outstanding invoices remain due and payable

Ceylond reserves the right to terminate services immediately if the client breaches these terms, engages in illegal activity, or fails to make timely payments.

11. Indemnification

The client agrees to indemnify, defend, and hold harmless Ceylond, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from the client's breach of these terms or the client's use of our services.

12. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, cyber attacks, or infrastructure failures.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through arbitration in Colombo, Sri Lanka.

14. Changes to Terms

Ceylond reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting to this page. Continued use of our services following any changes constitutes acceptance of the modified terms.
